ONWEB24 - GENERAL TERMS AND COMMON PROVISIONS

1) Contracting entity

2) Document structure
These General Terms and Common Provisions apply to all OnWeb24 modules. Each module also has dedicated specific terms. In case of conflict, module-specific terms prevail for that module. Access, registration, activation, or use of any OnWeb24 module constitutes acceptance of applicable terms.
3) Core definitions
- "Service": any OnWeb24 functionality, platform, or module.
- "User": natural person or legal entity using an OnWeb24 module.
- "Business User": user acting for professional/business purposes.
- "Paddle": payment provider acting as Merchant of Record.
- "Real collected amount": amount effectively received by OnWeb24, not refunded, not reversed, not disputed, not in waived status, and outside applicable withdrawal/refund windows.
4) Usage requirements
The user must:
- provide truthful and updated information;
- use the service lawfully;
- comply with applicable laws and integrated third-party policies.
OnWeb24 may refuse activation/provision or continuation of service in presence of requests/uses that are clearly unlawful, fraudulent, or high legal risk.
5) Paddle - Merchant of Record
Payments, invoicing, and technical refund flow are managed by Paddle under its own processes. OnWeb24 receives and uses the minimum data needed to enable and manage the service. When checkout is handled by Paddle, certain commercial terms (for example payment, invoicing, withdrawal/refund, order handling) may be governed by applicable Paddle terms.
6) Security, anti-fraud, and audit
OnWeb24 may apply automated and manual anti-fraud/anti-abuse controls. OnWeb24 may temporarily suspend operations, payments, or access in case of operational, legal, or security risk. All systems may be subject to technical logs and internal audit.
7) Service and terms changes
OnWeb24 may update features, prices, processes, and legal documents for technical, regulatory, or business reasons. Updated versions are published with revision date. For substantial contractual changes, OnWeb24 provides reasonable notice (normally at least 30 days) to users with active accounts, except urgent legal, security, or anti-abuse reasons. If a user does not accept changes, they may stop using the service and request account closure before the effective date. Continued use after the effective date constitutes acceptance of updated terms. OnWeb24 keeps reasonable evidence of notice delivery/publication (for example system logs, in-app notice, email sent to available account address).
8) Liability limits
The service is provided "as is" and "as available" within legal limits. In practical terms, OnWeb24 does not guarantee zero errors/interruptions or specific commercial outcomes. OnWeb24 guarantees reasonable diligence/measures only within components directly under its operational control. Within legal limits, OnWeb24 is not liable for disruptions, degradation, delays, changes, or interruptions caused by third-party providers or external infrastructure (for example hosting/cloud, Vercel, AI providers, DNS/registrars, email providers, telecom networks, payment providers). Within legal limits, OnWeb24 is not liable for unlawful, fraudulent, deceptive, or otherwise non-compliant conduct carried out by users/customers in their own activities, even if conveyed through websites/services built with OnWeb24. Within legal limits, OnWeb24 is not liable for indirect damages, loss of profit, business interruption, or loss of opportunity. For Business Users, except willful misconduct/gross negligence and mandatory liabilities by law, OnWeb24's total liability for service-related claims cannot exceed the total amount effectively collected for the relevant account/service in the twelve (12) months preceding the event that generated the claim, regardless of payment channel (including Paddle as Merchant of Record). For Business Users, the user agrees to indemnify and hold OnWeb24 harmless from third-party claims, damages, costs, and reasonable legal fees arising from unlawful service use, legal violations, third-party rights violations, or breaches of these terms. Mandatory liabilities under applicable mandatory law remain unaffected.
9) Suspension and termination
OnWeb24 may suspend or terminate access/modules in case of:
- contractual or legal breaches;
- fraud or abuse;
- security risk;
- failure to cooperate in necessary operational checks.
10) No employment/agency relationship
Unless separately agreed in writing, OnWeb24 modules do not create employment, agency, or corporate partnership relationships between user and OnWeb24.
11) Governing law and jurisdiction
These terms are governed by the laws of the State of California (USA), without prejudice to mandatory consumer protections under the law of the consumer's country of residence, where applicable. For Business Users, unless mandatory law provides otherwise, exclusive jurisdiction: San Francisco County, California.
12) Language and precedence
In case of multiple translations, official Italian or English versions published by OnWeb24 may be designated as reference versions. Available contract languages may include Italian and English.
13) Contract conclusion and order
The contractual relationship for an OnWeb24 module is considered concluded when OnWeb24 enables access to the requested module or confirms service activation. For modules/purchases handled via Paddle checkout, users may be redirected to a Paddle environment during the order flow, outside OnWeb24's direct technical responsibility.
14) Severability
If any provision of these terms is null, invalid, or unenforceable, remaining provisions remain fully valid and effective. The invalid provision shall be replaced, to the extent permitted by law, by a valid provision that most closely achieves the same legal/economic purpose.
15) Survival clause
Even after suspension, termination, or withdrawal, the following provisions remain effective as applicable: intellectual property clauses, liability limits/exclusions, indemnity, accrued and due amounts (including possible Build Fee due upon bonus forfeiture), governing law and jurisdiction, and any other clause that by nature and purpose must survive termination.
ONWEB24 - CUSTOMER TERMS (WEBSITE MODULE)

These terms apply to customers purchasing the OnWeb24 SaaS website creation/management service. They apply together with "OnWeb24 General Terms and Common Provisions".
1) Service scope
OnWeb24 provides a continuous SaaS service that may include:
- website design and development;
- hosting and technical management;
- publication and maintenance;
- operational support under active plan.
OnWeb24 may refuse activation/development requests for activities that are clearly unlawful, fraudulent, deceptive, or contrary to law/third-party policies.
2) SaaS nature, intellectual property, and right of use
The customer pays a recurring fee to use the service and keep the website active. Unless otherwise agreed in writing:
- full source code delivery is not included;
- transfer of repositories, pipelines, and infrastructure is not included;
- website use remains tied to an active, fully paid plan.
All intellectual property rights in the OnWeb24 technical project (including, by way of example, code, structure, UI/layout, components, automations, pipelines, integrations, prompts, operational assets, and know-how) remain with OnWeb24 or its licensors, without prejudice to customer rights in original materials provided by the customer.
2.1 Website build fee (conditional bonus)
For the customer module, a website build fee of EUR 2,000.00 applies ("Build Fee"). OnWeb24 applies a commercial bonus that waives this amount as long as the customer uses the service in compliance with these terms and no misappropriation of OnWeb24 intellectual property occurs.
2.2 Bonus forfeiture and amount due
The above bonus is automatically forfeited if, during or after suspension/termination of service, the customer continues to benefit from OnWeb24 intellectual property through unauthorized reproduction of the website/project, including manual or automated copying, including AI tools, in identical or substantially similar form. Upon forfeiture, the EUR 2,000.00 Build Fee becomes fully due (plus applicable taxes) and payable within 7 days from OnWeb24 written request, without prejudice to any further legal remedy.
2.3 Cumulative remedies
Bonus forfeiture does not limit any other OnWeb24 rights, including injunctive relief, further damages, and intellectual property protection under applicable law.
3) Domain - clear rules
3.1 Domain suggested by customer
The customer may only suggest a domain and cannot impose the final choice.
3.2 Domain purchased by OnWeb24
If the domain is purchased by OnWeb24, domain ownership/availability belongs to OnWeb24. Any customer use is granted as a limited, revocable license tied to an active plan.
3.3 Domain purchased by customer
Alternatively, the customer may purchase a domain of their choice from an external registrar. OnWeb24 provides simple, clear DNS/configuration instructions to make the website visible on that domain. The customer remains solely responsible for domain purchase, renewal, and registrar management.
3.4 Premium/high-cost domains
The standard plan does not include premium domains or domains with costs beyond sustainable plan thresholds. Any extra cost, if accepted by OnWeb24, is agreed separately.
3.5 End of service and domain availability
Upon service termination, any domain purchased by OnWeb24 may be reallocated, deactivated, or retained at OnWeb24's discretion. The customer acquires no ownership or pre-emption rights on domains registered by OnWeb24.
4) Payments, invoicing, and refunds
Payments are handled by Paddle (Merchant of Record), except for any different charges/integrations agreed for extra services. Invoices and payment communications may be issued by Paddle. Refunds are governed by OnWeb24 Refund Policy.
4.1 Customer order completion
A customer plan order is deemed concluded when checkout is successfully completed and the service is activated by OnWeb24. In the payment flow, the user may be redirected to Paddle to complete order/payment under Paddle terms applicable to checkout.
5) Refund guarantee
For first purchase of a customer plan:
- full refund within 14 days from initial transaction, no discussion.
Subsequent renewals:
- not automatically covered by the same guarantee, except where required by law or specific commercial decision.
6) Non-payment, suspension, deletion
In case of non-payment:
- OnWeb24 may hide/suspend the website;
- after 3 continuous months without payment, OnWeb24 may permanently delete the website and related operational assets, except where legal obligations require otherwise;
- before permanent deletion, OnWeb24 sends at least one written notice to the account email at least 15 days in advance;
- customer must keep account email updated; within legal limits, notices sent to the last registered address are deemed validly delivered;
- OnWeb24 keeps reasonable technical evidence of the process (suspension, notice, deadline, possible deletion).
OnWeb24 may also suspend or terminate with immediate effect in case of unlawful/fraudulent use, legal risk, or security risk, without prejudice to mandatory rights under applicable law.
7) Customer content, legal compliance, and responsibility
Customer warrants having rights/permissions for uploaded text, images, media, and data, and being entitled to use/publish them. Customer is responsible for the truthfulness and lawfulness of content, commercial claims, privacy/cookie compliance of their business, and any unlawful/fraudulent activities carried out through or outside the website. By uploading materials/data, customer grants OnWeb24 a non-exclusive, royalty-free license, revocable upon termination, limited to the time and uses necessary to design, publish, maintain, and support the website. If customer acts as Business User, customer agrees to indemnify and hold OnWeb24 harmless from third-party claims arising from customer-uploaded content/data/materials in breach of law or third-party rights.
7.1 Legal pages and cookie/pixel tools on customer website
OnWeb24 may provide legal page drafts/templates, including AI-generated/assisted content, for operational support only. Such materials do not constitute legal advice and do not replace the customer's legal review. Customer remains solely responsible for suitability and compliance of their legal pages with their business model and applicable laws. By default, OnWeb24 does not install non-essential marketing cookies/pixels on customer websites, unless explicitly requested/configured by the customer (for example GTM or equivalent tools). When customer provides/enables GTM, pixels, or other trackers (including CMP/cookie banner tools such as CookieScript, Consently, or equivalent), customer remains controller and solely responsible for related legal compliance.
7.2 Privacy roles for customer website (controller/processor) and DPA
For personal data collected/managed through customer websites (for example contact forms, leads, end-user requests), customer remains the data controller. When OnWeb24 processes such data on customer's behalf solely for technical service delivery/maintenance, OnWeb24 acts as data processor within documented customer instructions and applicable law. If requested/applicable, parties may regulate the controller-processor relationship via a separate Data Processing Agreement (DPA).
7.2-bis Standard operational model and role of OnWeb24 as website builder
In the standard operational model of the OnWeb24 website service, end- user personal data collected through contact forms, WhatsApp buttons, or booking flows on the generated website is delivered directly to the customer's own communication channels (email, CRM, messaging apps) via technical relay services, without being stored or actively processed by OnWeb24 for the customer's purposes.
In this standard scenario, OnWeb24 functions as the technical website builder and management service provider of the customer's generated website. The actual web hosting and content delivery infrastructure on which the generated website is served is provided by third-party cloud providers (primarily Vercel, Inc., a Delaware corporation) acting as sub-processors of OnWeb24 under their own hosting terms. OnWeb24 is therefore NOT the hosting provider within the meaning of Article 14 of Directive 2000/31/EC (eCommerce Directive) and does NOT act as a data processor for end-user personal data in the standard operational model.
This framing is reflected in the legal pages (Privacy Policy, Cookie Policy, Terms and Conditions) that OnWeb24 generates and publishes on the customer's website.
The data processor role described in section 7.2 above applies only to specific optional features where OnWeb24 is expressly required to actively process end-user data on the customer's behalf (for example centralized lead dashboard, AI-based inbound lead scoring, or any future feature explicitly enabled by the customer and expressly documented as a processor activity). In such cases a separate DPA under GDPR Art. 28 shall govern the processor relationship.
7.3 Client-provided legal/fiscal identifiers and jurisdiction-specific
disclosure obligations
7.3.1 Client responsibility
The customer acknowledges and agrees that the laws of the customer's country of establishment or of the country where the customer's business operates may require certain legal and fiscal identifiers to be published on the customer's business website. Examples include, without limitation:
- Spain: NIF or CIF (Tax Identification Number) and legal entity
form, under Article 10 of Ley 34/2002 on Information Society Services and Electronic Commerce (LSSI);
- Italy: Partita IVA or Codice Fiscale, company name, legal form,
registered office, and (where applicable) Camera di Commercio registration number and REA, under the Italian Civil Code, Legislative Decree 70/2003 and Codice del Consumo;
- France: SIREN/SIRET number, legal form, and address, under the
French Commercial Code and LCEN Art. 19;
- Germany: Full Impressum data under §5 TMG (Telemediengesetz),
including Handelsregister number, authorised representative and VAT ID (USt-IdNr.) where applicable;
- Other jurisdictions: any equivalent mandatory disclosure required
by local consumer protection, e-commerce, or business transparency law.
7.3.2 Collection during onboarding
During the guided onboarding/interview, OnWeb24 invites the customer to optionally provide a tax identification number (the "Tax ID" field). This field is optional from OnWeb24's operational standpoint but may be legally required by the customer's local law. If the customer provides a Tax ID, OnWeb24 will automatically include it in the privacy policy, terms and conditions, and other legal pages of the customer's generated website, in the appropriate sections.
7.3.3 Customer warning and acknowledgement
For customers whose country of establishment is Spain, Italy, France, Germany (and any other jurisdiction that OnWeb24 may add to this list in the future), the onboarding interface displays a prominent warning if the Tax ID field is left empty at submission time. The customer may choose to proceed without providing a Tax ID by confirming that they accept the risk of non-compliance with local disclosure laws. Such confirmation is logged with timestamp as evidence.
7.3.4 Disclaimer and indemnification
OnWeb24 does NOT verify, audit, or guarantee the customer's compliance with jurisdiction-specific legal disclosure laws. The customer is solely responsible for: (a) providing accurate, complete and up-to-date legal/fiscal identifiers to OnWeb24; (b) ensuring that the generated website contains all mandatory disclosures required by the laws of the customer's country of establishment and the countries where the customer's business operates or markets its services; (c) obtaining independent legal advice where appropriate.
If the customer fails to provide the required identifiers (or provides inaccurate ones), or otherwise fails to ensure legal compliance of the generated website, the customer acknowledges that OnWeb24 shall NOT be held liable for any resulting administrative sanction, fine, penalty, damage, loss or cost. The customer agrees to indemnify and hold harmless OnWeb24, Revolution Marketing LLC, its directors, officers, employees, sub-processors and affiliates from and against any and all such claims, damages, costs and expenses (including reasonable legal fees), in addition to the indemnification obligations already set forth in section 8 of the General Terms and Common Provisions.
This section 7.3 does not limit mandatory consumer protection rights or other rights that cannot be waived under applicable law.
7.4 Out-of-scope industries and automated screening
The OnWeb24 service includes an automated screening step that checks the business activity described by the customer during onboarding against a list of sectors that require specialized regulatory compliance beyond what our automated website builder can reasonably cover. These include (non-exhaustive): real-money gambling, cryptocurrency exchanges and DeFi platforms, prescription pharmaceuticals, firearms and weapons, adult content, and money transfer / money-service businesses.
If the customer's declared activity matches one of these out-of-scope categories, OnWeb24 will not proceed with the website generation and will issue a full refund of the purchase (via Paddle, our Merchant of Record) within a reasonable time frame, typically 2 business days. The customer acknowledges that this screening is intended to protect both the customer and OnWeb24 from regulatory exposure that automated tools cannot adequately address.
7.5 AI-generated legal content - Customer verification responsibility
The Privacy Policy, Cookie Policy, and Terms & Conditions published on the customer's website are generated automatically by an AI system maintained by OnWeb24 (the "onweb24 legal generator"). This generator produces text following a combination of (a) jurisdiction-neutral base templates drafted on GDPR dual-role best practices, (b) sector-specific and country-specific clause modules curated by OnWeb24, and (c) interpolation of business data provided by the customer during onboarding.
The customer acknowledges and agrees that:
(a) the output of an AI-based legal content generator, regardless of the quality of its templates and curation, cannot substitute for legal advice provided by a qualified lawyer familiar with the customer's specific business, jurisdiction, and factual context; (b) the customer is solely responsible for reviewing the generated legal pages - either personally or through legal counsel of their own choosing - and for verifying that they accurately reflect the customer's actual business operations, data processing practices, payment and fulfillment flows, and any sector-specific regulatory requirements applicable to the customer's activity; (c) any errors, omissions, inaccuracies, or inadequacies in the generated legal pages - including but not limited to missing clauses, outdated references, wrong jurisdictional assumptions, or insufficient disclosures - are the customer's responsibility to identify and correct before relying on those pages in commercial operation; (d) OnWeb24 makes no warranty, express or implied, that the generated legal pages are fit for any particular purpose, legally sufficient in any specific jurisdiction, or compliant with any specific regulatory framework beyond the GDPR dual-role baseline structure; (e) to the maximum extent permitted by applicable law, the customer releases OnWeb24 and Revolution Marketing LLC from any liability arising from the use, publication, or legal insufficiency of AI-generated legal content on the customer's website, including administrative fines, consumer complaints, third-party disputes, or regulatory actions directed at the customer; (f) nothing in this section limits mandatory consumer protections that cannot be waived under applicable law, nor does it limit OnWeb24's liability for gross negligence, willful misconduct, or fraud.
Acceptance of these Terms at checkout, together with the separate informed-consent checkbox described in the checkout flow, constitutes the customer's explicit acknowledgment of the AI-generated nature of the legal pages and of the verification responsibility described in this section.
8) Change requests and materials
To ensure correct project execution, customer must complete the guided interview/questionnaire and upload materials (including images) during that phase. If images/materials are missing at interview completion, OnWeb24 may use or generate alternative assets (including AI-generated images) to meet delivery timelines. After first draft delivery, one (1) change request is included free of charge. Each additional change request costs EUR 24 per single submission/pool of changes, regardless of how many items are included. The fee applies per project: if the customer requests changes on 10 separate projects, the total is EUR 24 x 10. OnWeb24 may update processes, timing, and pricing with adequate communication.
9) Service availability
OnWeb24 uses reasonable efforts for continuity and stability but does not guarantee absolute uninterrupted availability. Interruptions may result from maintenance, failures, third-party providers, or force majeure. OnWeb24 guarantees operations/intervention within components under its direct control. Third-party services/components (including hosting/deployment like Vercel, AI models/providers, DNS/registrars, email and network services) may affect timing, quality, availability, or final result without additional OnWeb24 liability, within legal limits.
10) Termination, OnWeb24 convenience withdrawal, and migration
10.1 Upon service termination, unless specifically agreed in writing, OnWeb24 is not required to transfer source code or infrastructure.
No export or transfer of website assets, the technical project, or operational OnWeb24 components is provided. Only mandatory personal-data rights under applicable law remain unaffected.
10.2 OnWeb24 may withdraw from the relationship with at least 90 days' written notice to the customer's account email.
At the end of notice period, OnWeb24 may stop renewals, deactivate service, and, after technical/administrative time as needed, delete operational assets within legal limits.
10.3 Immediate suspension/termination rights without notice remain in place for the cases listed in section 6 (unlawful conduct/fraud/security/legal risk).
11) Reference to common terms
For liability limits/cap, terms change notice, severability, governing law, and jurisdiction, OnWeb24 General Terms and Common Provisions apply.
